Good Company Terms of Service

These Terms of Service govern your access to and use of Good Company, including our website, mobile applications, community features, Circles, Milestones, messaging tools and related services.

Good Company is operated by Good Company Collective, Inc. References to "Good Company," "we," "us" or "our" mean Good Company Collective, Inc.

By creating an account or using Good Company, you agree to these Terms. Please do not use Good Company if you do not agree.

1. Eligibility

You must be at least 17 years old to create an account or use Good Company.

You must provide truthful and reasonably accurate account information. You may not create an account for another person without authorization or impersonate another individual or organization.

You are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account.

2. Purpose of Good Company

Good Company is a community platform designed to help people build friendship, belonging and support through shared work-life experiences.

Good Company is not:

  • An employment agency or recruiting service
  • A healthcare or mental-health provider
  • A crisis-response service
  • A replacement for professional medical, legal, financial or employment advice
  • A guarantee of friendship, employment, business opportunities or any particular result

Members are responsible for deciding whether and how to interact with other members.

3. Member conduct

You agree not to:

  • Harass, threaten, stalk, intimidate or discriminate against another person
  • Post hateful, abusive, sexually exploitative or violent content
  • Misrepresent your identity, employment or qualifications
  • Share another person's private information without permission
  • Use Good Company for scams, spam, unlawful solicitation or deceptive commercial activity
  • Scrape, copy, harvest or sell member information
  • Attempt to gain unauthorized access to accounts, systems or data
  • Upload malicious code or interfere with the operation of the service
  • Use information obtained through Good Company to make employment, housing, credit, insurance or similar eligibility decisions
  • Retaliate against someone for posting, reporting conduct or participating in a Circle
  • Circumvent blocks, suspensions, privacy controls or moderation decisions

Community Guidelines are incorporated into these Terms.

4. Profiles, posts and user content

You retain ownership of content you submit to Good Company.

By submitting content, you grant Good Company a nonexclusive, worldwide, royalty-free license to host, store, reproduce, display and distribute that content only as reasonably necessary to operate, secure, improve and promote the service.

This license ends when your content is deleted, except where copies must temporarily remain in backups, safety records or legal records.

You are responsible for ensuring that you have the right to share the content you submit.

Good Company may remove, restrict or preserve content when reasonably necessary to enforce these Terms, protect members, investigate misuse, comply with law or maintain the service.

5. Circles, matching and member interactions

Good Company may recommend members, Milestones, Circles, resources or connections based on information provided to the service.

Recommendations are not endorsements, background checks or guarantees of compatibility, identity, conduct or safety.

Use reasonable judgment when communicating with members or meeting someone in person. Consider meeting in a public location, telling someone where you are going and arranging your own transportation.

Good Company is not responsible for the independent acts or omissions of members, employers, partners, Circle hosts or third-party service providers, except where liability cannot legally be excluded.

6. Workplace and employer relationships

Good Company is independent from members' employers unless clearly stated otherwise.

Employer-sponsored access does not give an employer access to private messages, individual community activity or personally identifiable engagement information unless the member expressly directs or authorizes the disclosure.

Members must not use Good Company to disclose confidential, proprietary, trade-secret or legally protected workplace information.

Participation in Good Company does not alter a member's employment relationship or workplace obligations.

7. Paid features

Good Company may offer paid memberships, employer-sponsored access, events, products or other paid features in the future.

Applicable prices, renewal terms, cancellation rules and refund policies will be disclosed before purchase.

Additional terms may apply to particular paid services.

8. Safety and moderation

Members may block, mute and report other users.

Good Company may investigate reports and take actions including content removal, feature restrictions, suspension or account termination.

We are not required to disclose confidential safety procedures, reports or enforcement details to other members.

In an emergency or if someone is in immediate danger, contact local emergency services. Good Company does not provide emergency monitoring or crisis intervention.

9. Third-party services

Good Company may rely on third-party services for hosting, authentication, analytics, email delivery, payments, maps or other functionality.

Third-party services may have separate terms and privacy practices. Good Company is not responsible for third-party products or websites that it does not control.

10. Account suspension and termination

You may stop using Good Company at any time and may request account deletion through account settings.

Good Company may suspend, restrict or terminate an account when reasonably necessary because of:

  • Violation of these Terms or Community Guidelines
  • Fraud, abuse or unlawful activity
  • Threats to member safety
  • Security or technical risks
  • Legal requirements
  • Prolonged inactivity, after reasonable notice where appropriate

Sections that by their nature should survive termination will remain in effect, including provisions concerning intellectual property, disclaimers, liability and dispute resolution.

11. Account deletion

Members must be able to initiate account deletion from within account settings.

When an account is deleted, Good Company will delete or deidentify associated personal information except information that must reasonably be retained for security, fraud prevention, legal compliance, dispute resolution or enforcement of these Terms.

Deletion of information from backups may take additional time.

12. Intellectual property

Good Company's name, branding, software, designs, features, documentation and other materials are owned by Good Company Collective, Inc. or its licensors.

These Terms do not grant permission to copy, modify, sell or commercially exploit Good Company's intellectual property.

13. Service availability and changes

Good Company may modify, add, suspend or discontinue features.

We do not guarantee that the service will always be available, uninterrupted, secure or error-free.

We may update these Terms. When changes are material, we will provide reasonable notice and request renewed acceptance where appropriate.

14. Disclaimers

Good Company is provided on an "as is" and "as available" basis to the fullest extent permitted by law.

Good Company disclaims warranties of merchantability, fitness for a particular purpose, noninfringement and uninterrupted availability to the extent legally permitted.

Nothing in these Terms excludes rights or protections that cannot legally be waived.

15. Limitation of liability

To the fullest extent permitted by law, Good Company Collective, Inc. and its officers, employees, contractors and affiliates will not be liable for indirect, incidental, special, consequential or punitive damages arising from the use of Good Company.

Good Company's aggregate liability arising from the service will not exceed the greater of:

  • The amount the member paid directly to Good Company during the 12 months before the claim; or
  • One hundred U.S. dollars

This limitation does not apply where prohibited by law.

16. Indemnification

To the extent permitted by law, you agree to indemnify and hold Good Company Collective, Inc. harmless from claims arising from your unlawful use of the service, your content or your violation of these Terms or another person's rights.

17. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Before filing a formal claim, you and Good Company agree to attempt in good faith to resolve the matter informally by contacting [SUPPORT EMAIL].
